Article 1 Purpose

ANG Technology Co., Ltd. (hereinafter referred to as the "Company") aspires to be a global enterprise that contributes to the dreams of human society by creating a new future through creative thinking and endless challenge. As the practice of ethical management is the foundation for this, the Company has enacted this Code of Ethics and Practice Guidelines so that it may become a trustworthy partner to its diverse stakeholders and enhance customer value. All members of the Company shall comply with this Code of Ethics and Practice Guidelines.

Article 2 Scope of Application

This Code of Ethics and Practice Guidelines applies to all officers and employees of the Company, who shall act in accordance with it even when dealing with suppliers and sales/service organizations. All officers and employees of an organization to which this Code of Ethics and Practice Guidelines applies shall comply with the laws of the relevant country and, at the same time, perform their duties in accordance with this Code of Ethics and Practice Guidelines. Furthermore, all stakeholders in a business relationship with the Company shall be encouraged to respect this Code of Ethics and Practice Guidelines.

A company to which this Code of Ethics and Practice Guidelines applies shall perform its work in accordance with the regulations, policies, guidelines, etc. based on this Code of Ethics and Practice Guidelines. Where this Code of Ethics and Practice Guidelines, or related regulations, policies, or guidelines, conflict with the laws of the local country, the local laws shall be complied with first, and this Code of Ethics and Practice Guidelines may be revised and applied to reflect the laws and industry characteristics required by the relevant country, with separate detailed policies established as necessary. An organization that wishes to adopt this Code of Ethics and Practice Guidelines shall obtain the Company's prior permission.

Article 3 Code of Ethics

1.   We perform our work with clear and transparent standards, and fulfill our given responsibilities with integrity and our best efforts.

2.   We compete fairly and squarely in the market, and deal fairly with counterparties in contractual relationships.

3.   To realize customer value, we provide safe products, the best services, and accurate information, and thoroughly protect personal information.

4.   We respect each member as an independent individual, and to this end, provide fair working conditions and a safe working environment.

5.   As a global corporate citizen, we contribute to realizing sustainable development in which diverse stakeholders can prosper together, through the fulfillment of our social responsibilities.

Article 4 Ethics of Officers and Employees

We perform our work with clear and transparent standards, and fulfill our given responsibilities with integrity and our best efforts.

1.   Bribery: We do not receive from stakeholders, nor offer or promise to offer, any illegal or unethical benefit or bribe in any monetary or non-monetary form.

2.   Solicitation: Improper solicitation between officers/employees and stakeholders, or among internal officers and employees, is prohibited.

3.   Conflict of Interest: Where the avoidance of a conflict of interest between the Company and an individual is unavoidable, we act by giving priority to the interests of the Company and the customer within a lawful scope.

4.   Insider Trading: We shall not disclose confidential information, knowledge, or information obtained directly or indirectly through the performance of duties, or use it to pursue personal gain.

5.   Workplace Ethics: Officers and employees shall fulfill the responsibilities given to them as individuals while performing the Company's work, regardless of time or place, and shall use the Company's assets and facilities only for business purposes.

6.   Abuse of Authority: We do not exercise undue influence by using job authority or position, or pursue illegal benefits for the Company or an individual.

7.   Document Preparation and Reporting: We do not prepare or report documents based on manipulated content, such as concealment, understatement, exaggeration, or false content, nor share such content with internal or external stakeholders.

8.   Financial Responsibility: We shall accurately record, maintain, and report business documents such as financial accounts, quality reports, working-hour records, and expense reports; this includes submitting such documents to customers or regulatory authorities where necessary, and shall comply with relevant laws and generally accepted accounting principles.

Article 5 Fair Competition and Trade

We compete fairly and squarely in the market, and deal fairly with counterparties in contractual relationships.

1.   Anti-monopoly: We do not engage in acts that may impede fair competition, such as abusing a market-dominant position or abusing a superior bargaining position through unfair transactions.

2.   Collusion: We do not agree with other business operators to unreasonably restrict competition with respect to the price, supply volume, trading area, trading conditions, etc. of goods or services.

3.   Unfair Competition: We do not obtain information by improper means from competitors, suppliers, or other institutions, and do not use or disclose information improperly obtained by the Company or a third party.

4.   Money Laundering: We do not engage in acts related to the money laundering of customers, partners, suppliers, or other institutions and individuals.

5.   Prevention of Counterfeit Parts: To minimize the risk of counterfeit parts and materials entering delivered products, we develop, implement, and maintain processes appropriate to our products and services, and where a counterfeit part is identified, we isolate the material and immediately notify the government or the customer.

6.   Compliance with Export Controls: With respect to the export or re-export of goods, software, and service technologies, we comply with the laws of each country and international conventions related to export controls, and do not engage in transactions with countries, regions, or individuals subject to export controls or economic sanctions.

7.   Intellectual Property Rights: We protect the trade secrets of suppliers in contractual relationships, and do not infringe the intellectual property rights of other companies or persons.

8.   Taxation: For transparent and fair tax administration, we comply with the tax laws of each country in which our workplaces are located, and do not evade the lawful tax obligations given to us.

9.   Procurement: We pursue a fair, mutually beneficial relationship with suppliers, and do not engage in unfair trade practices.

Article 6 Realization of Customer Value

To realize customer value, we provide safe products, the best services, and accurate information, and thoroughly protect personal information.

1.   Customer Safety: We do not make decisions that compromise customer safety throughout the entire process of R&D, raw material procurement, production, sales and distribution, and after-sales service.

2.   Quality: We do not engage in acts that impair the quality standards necessary to stably supply the best products and services to customers.

3.   Complete Provision of Information: We provide customers with correct and useful information related to products and services to help them make sound decisions, and do not provide false or exaggerated information.

4.   Personal Information Protection: We comply with laws and regulations to protect customers' personal information, and do not engage in acts that may unlawfully infringe customers' personal information.

5.   Gathering Customer Opinions: We listen to customers' opinions on products and services, and actively accept customers' legitimate demands and reasonable suggestions.

6.   Customer Accessibility: We take necessary measures so that no customer is unfairly restricted from using products and services on the grounds of gender, age, disability, language, etc.

7.   Product Liability: To prevent harm and risk to customers, we actively provide necessary information and responsibly implement measures to secure the safety and quality of products and services.

Article 7 Respect for Officers and Employees

We respect each member as an independent individual, and to this end, provide fair working conditions and a safe working environment.

1.   Human Rights: We respect each officer and employee as an independent individual, and take active measures so that the human rights universally pursued by human society can be protected.

2.   Child Labor and Forced Labor: We comply with the labor laws of the country in which the workplace is located, and prohibit child labor and forced labor within the workplace. As a rule, child labor prohibits the employment of persons under 15 years of age, and even where permitted by relevant laws, it is allowed only within a scope that does not impair the physical and mental development of that age group. Forced labor includes the confiscation of identity documents such as passports and ID cards, the collection of deposits or collateral, restriction of freedom of movement, physical confinement, the coercion of labor through pressure, threats, or violence, and the forcing of overtime against the free will of the worker; all of these are entirely prohibited. <Amended 2026.04.01>

3.   Discrimination: We do not discriminate against officers and employees on the grounds of nationality, region of origin, race, gender, age, culture, religion, disability, educational background, political orientation, or personal preference, etc.

4.   Equal Opportunity: We provide officers and employees with equal opportunities for education and growth according to their abilities and qualities, and fairly evaluate and reward performance.

5.   Workplace Harassment: We prohibit all online and offline acts that insult the character of a member or undermine human dignity, such as verbal or physical violence, sexual harassment, bullying, and intimidation.

6.   Safety and Health: We actively take necessary measures for the safety of officers and employees, and maintain a working environment safe from occupational accidents and injuries, disasters, calamities, diseases, and infections.

7.   Work-Life Balance: We shall endeavor to provide a work environment in which officers' and employees' work and life are in harmonious balance.

Article 8 Pursuit of Sustainability

As a global corporate citizen, we contribute to realizing sustainable development in which diverse stakeholders can prosper together, through the fulfillment of our social responsibilities.

1.   Sustainable Development: In the management decision-making process, we fulfill our responsibility to contribute to achieving the Sustainable Development Goals (SDGs) in order to solve the environmental and social problems facing human society.

2.   Environment: Recognizing that the environment is a precious asset to be preserved for future generations, we actively fulfill our responsibility to minimize negative environmental impacts across all areas of our business.

3.   Social Contribution: We actively identify social problems facing our society and, further, humanity, and actively seek solutions.

4.   Stakeholder Engagement: We identify stakeholders who are affected by or may affect the Company's management, and actively communicate and act on important sustainability-related issues.

5.   Donations and Sponsorship: We fairly carry out charitable donations and sponsorship in accordance with internal execution standards and procedures, and prohibit donations and sponsorship for political purposes.

6.   Shareholder Value: We pursue the enhancement of the value of the Company and its shareholders through sustainability management.

7.   Information Disclosure: We disclose financial and non-financial information in a timely manner in accordance with relevant laws and regulations.

Article 9 Management System

1.   Duties of the Head of the Organization: The head of an organization applying this Code of Ethics and Practice Guidelines shall actively support and manage its officers and employees and business-related stakeholders so that they can correctly implement this Code of Ethics and Practice Guidelines.

2.   Organization and Reporting: An organization applying this Code of Ethics and Practice Guidelines shall establish an appropriate organization and reporting system for the prevention and due diligence of ethical risks, and clearly define responsibilities and roles.

3.   Monitoring and Due Diligence: An organization applying this Code of Ethics and Practice Guidelines shall establish a system capable of constantly monitoring and conducting due diligence on ethical risks.

4.   Internal Control: An organization applying this Code of Ethics and Practice Guidelines shall establish a 24-hour reporting system accessible both internally and externally, and shall introduce appropriate internal control systems such as regular or ad hoc audits.

5.   Protection of Whistleblowers: An organization applying this Code of Ethics and Practice Guidelines shall protect the personal safety of whistleblowers and implement necessary measures so that whistleblowers do not suffer unreasonable treatment, discrimination, or retaliation.

6.   Amendment: This Code of Ethics and Practice Guidelines shall be periodically reviewed and revised.

7.   Education: An organization applying this Code of Ethics and Practice Guidelines shall provide appropriate education so that its officers and employees respect and can practice the meaning pursued by this Code of Ethics and Practice Guidelines.

8.   Handling: An organization applying this Code of Ethics and Practice Guidelines shall immediately implement necessary measures in accordance with company regulations when a violation occurs.

9.   Disclosure of Violation Information: An organization applying this Code of Ethics and Practice Guidelines shall select an appropriate method to disclose the relevant information in order to prevent the recurrence of violations.

Article 1 Effective Date

This Code of Ethics and Practice Guidelines takes effect on January 1, 2023.

Any amendment to this Code of Ethics and Practice Guidelines shall be implemented upon approval by the highest decision-maker, and the amended content shall be immediately announced to all officers and employees.
